Statutes Actionuni
I. CONSTITUTION
1. Definition
Actionuni is an organization with an ideal goal, as defined by articles 60 and followings of the Code Civil Suisse. Actionuni is politically independent.
2. Objectives
The objectives of actionuni are:
- Formulation and communication of the interests of the scientific relief in Switzerland
- Stimulation of the debate about research and about the work of researchers in the Swiss universities and federal technical high-schools.
- Improvement of the working conditions, teaching included, of scientific assistants and young researchers in the Swiss universities and federal technical high schools.
- Coordination of the members of the corps intermédiaire of Swiss universities and federal technical high schools, and of their organizations.
- Communication and defence of the interests of researchers, assistants and the scientific relief within the academic and political institutions.
3. Headquarters and Duration
The headquarters of actionuni are in Fribourg. The duration is unlimited.
II. MEMBERS
4. Members
Actionuni admits collective and individual members.
5. Admission of members
Membership demands are to be addressed to the Administrative Board. Membership is submitted to the approbation of the Administrative Board that may refuse admission for just reasons. Membership is confirmed by the General Meeting through a vote of absolute majority.
6. Resignation of members
Resignation must be notified in writing to the Administrative Board. Membership fees of the current year are still payable.
7. Exclusion of members
The General Meeting may exclude one of the collective or individual members for just reasons, notably for non-payment of membership fees, upon a resolution of 2/3 of the present members. Membership fees of the current year are still payable.
III. BODIES
8. The bodies of actionuni
The bodies of actionuni are:
- The General Meeting
- The Administrative Board
- The Working Groups
9. General Meeting
- The General meeting is the highest body of actionuni. It has notably the following competences:
- Confirmation of memberships
- Exclusion of members
- Approval of the statement of accounts and of the revision report
- Discharge of the Administrative Board
- Setting the amount of the membership fees
- Approval of an annual budget
- Definition of the political program
- Election of the representatives to the Administrative Board and of the Account Verifiers
- Modification of the statutes
- Dissolution of the organization
10. Organization of the General Meeting
- The Ordinary General Meeting takes place once a year. An Extraordinary Meeting may be convened by:
- The Administrative Board
2/3 of the members
The Administrative Board prepares the agenda and sends it to its members 15 days before the date of the General Meeting. The agenda is approved at the beginning of the meeting and all later modifications need a resolution of 2/3 of the present members. The Meeting is chaired by an Administrative Board member.
11. Administrative Board
- The Administrative Board is the executive body of actionuni. Its competences are notably the following:
- Election of the co-presidents, of the treasurer and of the secretary
- Administration of current affairs
- Adherence of members
- Approbation of the constant replacements of members of the Administrative Board.
- Elaboration and management of the budget
- Representation of actionuni
- Constitution and surveillance of Working Groups
- Provisional acceptance of collective members and election of their representatives.
12. Composition of the Administrative Board
The Administrative Board is constituted by:
- one representative for each collective member, proposed by his/her respective organization and elected by the Administrative Board. Only associations of the corps intermédiaire of Swiss universities and federal technical schools have a right to a member in the Administrative Board.
- The General Meeting may elect other members out of the individual and collective members to the Administrative Board.
The mandate of the Administrative Board members is one year directly renewable. Each Administrative Board member has the right to propose a replacement, which may be approved or refused by the Administrative Board.
13. Co-presidency
The Administrative Board elects among its members 2 co-presidents. The signatures of one of the co-presidents and another member of the Administrative Board engages actionuni.
14. Organization of the Administrative Board
The Administrative Board contains two co-presidents, a secretary and a treasurer.
The Administrative Board organizes itself independently.
The Administrative Board is in session when at least half of its members are present.
15. Votes during the General Meeting and at the Administrative Board
Each member present (at the General Meeting or at a meeting of the Board) has the right to one vote.
a) Notwithstanding different arrangements, resolutions demand simple majority.
b) At the General Meeting, resolutions demand the double majority of all the members present and of the collective members.
c) An individual member representing, at a meeting, a collective member, cannot vote as an individual member.
16. Working Groups
The Administrative Board or the General Meeting may constitute Working Groups dedicated to a theme or a specific task.
Any member of actionuni may join an existing Working Group.
The Working Group may invite people exterior to actionuni to participate.
17. Organization of Working Groups
The members of a Working Group elect among themselves a person in charge. This person is responsible to communicate with the General Meeting or the Administrative Board.
The Working Groups organize themselves independently.
The Working Groups must regularly inform the Administrative Board and the General Meeting of their progresses.
18. The Account Verifiers
Two Account Verifiers are elected by the General Meeting. Their mandate is one year, renewable. They write a report about the accounts of actionuni which they present at the General Meeting.
IV. FINANCES
19. Economic resources
The economic resources of actionuni come from:
- Membership fees
- Subventions
- The proceeds of events organized by actionuni
- gifts or legacies
20. Membership fees
Membership fees of collective and individual members are fixed annually by the General Meeting
V. OTHER
21. Modification of statutes
Any modification proposition must be approved by 2/3 of the present members of the General Meeting.
22. Dissolution
The dissolution of actionuni is pronounced by the General Meeting after a resolution of 2/3 of the present members.
The General Meeting attributes the fortune to organizations with similar objectives.
23. Transitional dispositions
The present statutes have been approved by the General Meeting on Tuesday December 16th 2003. They take effect immediately.
The 5th point of article 2 (objectives) and art. 15 b) and c) were introduced by the General Meeting of April 27th 2005.
